| 如已知高位热值（ADB）、 全（内）水等数据，如何计算低热值（ARB）呢？ 已知高位热值 (ADB）、全（内）水等数据 - 900 = 低热值 煤的基在各行业中的叫法不一样。 煤的收到基发热量本身就含高位发热量和低位发热量。 要说明的是一般收到基煤都含有一定量的水分，这个水分又分两部分， 一部分是外表水也叫表面水，是煤的开采，运输，保过程中混到煤里面去的，这些水都附在煤的外表。 另有一部是内在水，这部分水多数是结晶的形式含在煤的里面，也称结晶水。 煤在作为燃料使用时，这二种水都要靠煤的自身放出的热量把其蒸发掉，显然对用户来说这部分热量是浪费掉了， 这相当于煤的发热量降低了，所以人们叫它低位发热量。 高位发热量是煤中的水分人为加热把其蒸发掉 后对煤试验后所得到煤的发热量， 粗俗点说煤带自身的水试验得到的是煤的低位发热量。 人为的包括长时间自然干燥脱掉水后试验得到的是煤的高位发热量。 煤的收到基发热量与低位发热量是收到的煤带水分析得到的发热量。 |

4.0 PRICE价格 4.1 The base unit price for Coal with Gross Calorific Value (ADB) 6300 kcal/kg shall be USD 90 / MT ( Ninety Dollars per Metric Ton), FOB Mother Vessel at the above nominated Loading Port, Indonesia. 单价以高位收到基值(ADB)6300Kcal/kg为准,FOB（离岸价）美元_____/公吨。 5.0 PRICE ADJUSTMENT / SHIPMENT REJECTION价格调整及拒收货物 5.1 For each shipment of coal the unit price referred to in Clause 4 and the shipment weight shall be adjusted for invoicing purposes in accordance with the actual quality test results and the following provisions. 条款4中约定的每批货物的价格及重量需按实际证书显示的指标按以下规定作出调整后出具发票。 5.1.1 The result of the final Certificates of quality and weight issued by the agreed independent survey authority at the load port shall be used for the calculation of the value of invoice required for presentation against the L/C. 由装货港第三独立机构出具的最终质检报告用于信用证承付需提交的文件及发票数额的计算。 5.2 Unit Price Adjustment: 价格调整 5.2.1 Calorific Value 热值 If the Gross Calorific Value (ADB) varies from 6300 kcal/kg, between 6300 kcal/kg and the rejection limit, then the unit price for the cargo shall be adjusted as per the following formula. No further bonus shall apply if the Gross Calorific Value (ADB) is greater than 6300 kcal/kg. 如果空干基发热值与6300 kcal/kg有差异，在6300kcal/kg至拒收指标之间，则价格需按以下公式进行调整。超过6300kcal/kg，价格不调整。 Actual GCV (ADB) Kcal/kg Adjusted Price = --------------------------------------- x Base Unit Price 6300 实际空干收到基 调整后的价格 = -------------------------------------- x 合同基本单价 6300 5.2.2 Ash content灰分 If the Ash content (ADB) of the cargo is above 17% till rejection limit, the invoice price shall be reduced by 0.30USD/MT for every 1% excess on a pro-rata basis. 如果实际灰分高于17%至拒收指标之间，发票价格需做调整，每高出1%，每吨扣减0.30美金。 5.3 Weight Adjustment: 重量调整 5.3.1 Total Moisture 全水份 If the Total Moisture (ARB) of the cargo is above 18% till rejection limit, then the invoice weight of the cargo for payment shall be adjusted in accordance with the following formula. If the Total Moisture (ARB) is greater than rejection limit, and the Buyer elects to accept the coal, then a minimum double penalty will apply. Invoice Weight = Weight per Certificate of Weight x (1 - Total Moisture) / (1-18%) 如果低位收到基全水分(ARB) 大于18%,那么用于付款的发票重量应该按照如下公式调整: 发票重量 = 重量证书上的货物重量 x (1-实际全水分) / (1-18%)。如果全水超过拒收标准，买方仍选择接受货物，则相应采取至少双倍的罚款。 5.4 Non-specification Coal 不合格的煤 If the cargo quality exceeds any of the rejection specifications set forth in this Agreement, the Buyer has the absolute right to reject the shipment and all losses shall be borne by the Seller. Alternatively, the Buyer may at his option, and subject to satisfactory re-negotiation of the price, elect to accept an out-of-specification shipment. 如果货物的任何一项指标超出合同规定拒收标准，买方有绝对的权利拒收货物，在此情况下，如果买方对货物重新议价且对重新议定的价格满意，可以选择接受不合格的货物。 6.0 PAYMENT TERMS付款方式 6.1 Performance Bond (PB) 保函 6.1.1 Upon this Contract having been signed, Seller shall issue a 2% non operative performand bond in favour of the Buyer within 3 (three) working days. The validity of Performance Bond is fifteen (15) days after the date of Buyer receiving CCIC inspection report and B/L. 合同签订后，卖方在3个工作日内开出以买方为受益人的2%履约保函，履约保函有效期至买方收到CCIC检测报告及提单后15天。 6.1.2 The form of the PB must be submitted to and accepted by the Buyer before issuing. The Parties agree the PB will accord with the requirements set out in Appendix C as a minimum. 保函格式需提前提交于买方并经买方确认。双方同意保函需按照附录C的格式出具。 6.1.3 All bank charges relating to the PB are for the account of the Seller. 卖方承担所有与保函有关的费用。 6.1.4 Notwithstanding the issuance of the PB, the Seller shall be liable for the contractual obligations stated herein. 尽管出具了保函，卖方仍需履行合同项下的责任。 6.2 Letter of Credit (L/C) 信用证 6.2.1 Within 5 (five) banking days after receiving the non operative PB . Buyer open transferable at sight Letter of Credit (L/C) covering 100% of the Base Shipment Value in favour of the Seller as the principal method of payment under this Contract. The L/C shall be issued through _____ Bank and shall remain valid for 60 (sixty) days from issue. 收到卖方开出的履约保函后的5个银行日内，买方银行通过_____银行开立不可转让的、不可撤销的即期信用证给卖方，信用证金额为每船货物美元货值的100%。该信用证的有效期至开证后60天。 6.2.2 The form of the L/C must be submitted to and accepted by the Seller before issuing. The Parties agree the L/C will accord with the requirements set out in Appendix B as a minimum. 信用证格式需提交卖方确认。双方同意信用证内容以附录B内容为准。 6.2.3 All bank charges of the L/C issuing bank are for the account of the Buyer. All bank charges outside the L/C issuing bank including reimbursement charges are for the account of the Seller. 在开证行以内的所有银行费用由买方负责，在开证行以外的所有银行费用包括偿付费用由卖方负责。 6.3 In the case of subsequent shipments, the Seller shall issue a PB and the Buyer shall issue a L/C for each shipment consistent with the above at least 30 (thirty) days prior to the scheduled loading commencement date. 对随后的每一船货物，装船前的30天，卖方需开具相同上述的保函，同时买方需开具信用证。 7.0 DOCUMENTS FOR PAYMENT 付款单证 7.1 100% payment shall be negotiated against the following documents presented by the Seller not later than 14 days after the B/L date. 对每一船货，卖方应在装货完成的14天内提交下列文件以议付100%的款项。 i) Three (3) original and three (3) copies of the full set of clean on board shipped B/L made out to order, blank endorsed, marked “freight payable per charter party” and notifying the Buyer. 三份原件及三份复印，带有“运费按租船合约支付”的空白背书的成套清洁装运提单，并通知目的港的买方。 ii) Three (3) original and three (3) copies of signed Commercial Invoice indicating the Contract number, L/C number, the name of the carrying vessel and showing 100% of shipment value as determined after bonus and/or penalty adjustments for excess moisture content and quality variances calculated according to the CCIC loading port certificates for weight and quality. ( 3）份正本和（3）份副本暂定商业发票，注明, 合同号，信用证号以及运货船只的名称及 100%货物金额是按照装货港CCIC出具的质量及重量报告，扣除了超标水分，根据指标的差距进行了奖励和惩罚的价格调整后的发票。 iii) One (1) copy of a certificate of quality issued by a recognised independent authority for the coal in stockpile; dated at least 12 days prior to the B/L date. 由认可的第三方独立检验机构至少提单日12天前出具的堆场货物的质检报告一份复印件。 iv) One (1) copy of each certificate of quality issued by a recognised independent authority for the coal in each barge comprising the shipment. 由认可的第三方独立检验机构出具的驳船货物的质检报告一 复印件。 v) One (1) original and three (3) copies of Certificate of quality issued by CCIC on board of vessel at load port; showing that the coal quality does not exceed any of the Contract reject specifications. 由新加坡CCIC在装货港出具的一份正本，3份副本的质量证书，表明煤的质量未超出任何合同规定的拒收标准。 vi) One (1) original and three (3) of copies of Certificate of weight issued by CCIC for vessel at load port. 由新加坡CCIC在装货港出具的一份正本，3份副本的重量证书。 vii) One (1) original and three (3) copies of final draught survey report issued by CCIC for vessel at load port. 由新加坡CCIC在装货港签发的水尺证明一份正本及三份副本。 viii) One (1) original and three (3) copies of Certificate of Origin issued by Indonesian Chamber of Commerce. 由印尼工商协会等主管部门出具的原产地证书1份正本和3份副本。 ix) One（1）original Seller’s certificate stating that one (1) extra complete set of shipping documents has been sent by courier to the Buyer within two (2) working days from the B/L date. 受益人于提单日两天内向信用证开证方将所有整套单据一次性由快递有限公司专送至开证方,并需要提供快递公司收据。 8.0 INSPECTION, SAMPLING AND ANALYSIS OF QUALITY 取样检验及质量分析 8.1 The Seller acknowledges that the management and assurance of cargo quality is paramount to the performance of this Contract. Any failure or obstruction by the Seller to effect or to support the implementation of quality assurance measures can be deemed a material breach of Contract and the Contract may be terminated. 卖方需明白执行合同的最重要的部分是对货物质量的把控和保证。卖方对实施保证产品质量职责的任何疏忽和阻碍都应被视为违背合同。 8.2 Pre-Shipment Inspection 装运前监督 The Seller shall undertake pre-shipment inspection and testing to assure that the coal meets the contract specifications before commitment to loading the coal as cargo. This must include for sampling and analysis of stockpiles and the barges used for handling the cargo to the MV. 卖方保证在将货物装载前，进行装运前的质量检验，确保货物质量符合合同要求的标准。以上必须包括对堆场和驳船的即将装上母船的货物的取样及检验。 8.2.1 The Seller shall issue at least one (1) pre-shipment certificate of sampling and analysis from a registered survey authority to the Buyer confirming the coal quality in stockpile at least 7 days prior to the start of ship loading operations. The Seller further agrees to issue to the Buyer the progressive results of stockpile and barge sampling and analysis as they become available. These results are not for invoicing purposes and shall be provided promptly and without reservation. 货物装运前7天，卖方至少要出具一份由第三方检验机构签发的装船前的货物质量检验分析证书证用于确定堆场货物的质量。卖方更进一步承诺向买方出具连续的堆场及驳船的有效的质检报告。此类证书不用于发票的目的且需无保留地提供给买方。 8.2.2 The Seller shall provide written notice of intended coal handling operations to the Buyer no later than 14 days prior to the start of ship loading operations. 买方需在开始装运前14天向买方发出书面的装船安排计划。 8.2.3 The Buyer at its option and expense may send their representatives to the coal storage and handling points to witness the entire loading, sampling, inspection and analysis of the coal. The Seller shall at all times ensure and facilitate access for the Buyer to conduct such monitoring activities. 买方需派出自己的代表至煤场及操作区见证整个的装载、取样，检查、分析货物的质量。卖方需自始至终确保、帮助买方执行此监督程序， 8.3 Load Port Inspection 装货港检验 The Parties jointly agree to appoint CCIC Singapore Pte Ltd (CCIC) as the only independent survey authority to perform final sampling and analysis of the coal at the loading port. The arrangement for and costs of such analysis shall be to the account of Seller. Arrangements shall include for a copy of the quality certificate to be issued to the Buyer at the same time the report is issued to the Seller. 买卖双方共同同意指定CCIC新加坡为装货港最终质量检验的唯一机构。费用由卖方承担，卖方须安排在收到由CCIC出具的质检报告 原件的同时将复印件提交至买方。 8.3.1 All sampling will be carried out in accordance with ISO standards using a mechanical sampler wherever possible. The final load port composite sample shall be divided into 4 parts as follows. These samples shall be clearly labelled (including without limitation sample and container weight) and kept in air tight sealed containers. One (1) sample being the shipment analysis sample (the “Shipment Sample”), One (1) sample being the Seller’s sample (the “Seller’s Sample”), One (1) sample being the Buyer’s sample (the “Buyer’s Sample”), One (1) sample being the Umpire sample (the “Umpire Sample”). 所有的取样检验需按ISO的标准执行，最终混样的样品需分为4份，所有的样品需贴注清晰的标签（包括单不仅限于样本机重量）且保存在密闭的容器中。 一份装运货物样品 一份卖方样品 一份买方样品 一份仲裁样品 8.3.2 The Shipment Sample shall be analysed by the appointed surveyor. This laboratory shall perform an analysis of the parameters specified in Clause 3, and shall promptly issue a Certificate of Sampling and Analysis certifying the results of such analysis to both the Seller and the Buyer. This Certificate shall also confirm the sampling process used and indicate the disposition of the Seller’s, Buyer’s and Umpire Samples at the time of issue. 所取货物样品应由指定机构按照条款3中规定的各项指标执行质量检验，并向买卖双方同时出具质量分析报告。此证书需同时确认取样程序并表明对买卖双方及仲裁样品的留置。 8.3.3 The Buyer’s Sample shall be forwarded to the Buyer upon request at the Buyer’s expense. 买方如需要样品，在支付了费用后交与买方。 8.3.4 The Umpire Sample shall be retained by the Independent Surveyor until ninety (90) days after completion of loading. 仲裁样品需在完成装载后由检验机构保存90天。 8.4 Buyer may at Buyer’s expenses, have its representative be present during the draft survey at loading port. 买方可以自费派遣代表在装货港现场监装。 8.4.1 Seller shall use its best endeavors to ensure that each shipment meets the element of quality listed in Clause 3.1 In the event that the quality of any shipment of Coal as determined by analysis of the samples taken during the course of loading indicates the final analysis of the shipment is likely to exceed the elements of quality listed in Clause 3.1, the Seller shall endeavor to remedy the problem. 卖方应尽其最大的努力以确保每批装运货物均能满足第3.1 款所列的质量要素。如果任何一 批货物通过在装载过程中进行的样品分析所确定的质量表明这批货物的最终热值和质量分析有可能不能满足第3.1 款所述，则卖方应尽力采取补救措施。 8.4.2 If coal quality reach rejection standards, Seller and Buyer shall negotiate in good faith to agree an equitable settlement for such shipment (which may include a reduction in price), in case such settlement fails to be achieved within 7 days from the date when the coal is proved to reach rejection standards, in which case, the Purchaser shall be entitled to purchase coal with the same quality and quantity from other Seller, and the Seller shall be liable to the Buyer for the additional cost thus incurred and other loss incurred by the Buyer. 如果煤炭质量达到拒收标准，则卖方和买方应基于善意原则，协商一致采取公正的措施处理该批货物（可能包括降价出售），如双方未能在货物被证实达到拒收标准之日起7天之内达成一致，则买方有权向其它销售方采购煤炭，由此增加的费用和买方的其它损失由卖方承担。 9.0 QUANTITY/WEIGHT DETERMINATION 重量检验 9.1 Load Port Weight 装货港重量检验 The Parties jointly agree to appoint CCIC Singapore Pte Ltd (CCIC) as the only independent survey authority to perform final weighing of the coal at the loading port. The arrangement for and costs of such analysis shall be to the account of Seller. Arrangements shall include for a copy of the weight certificate to be issued to the Buyer at the same time the report is issued to the Seller. 买卖双方共同同意指定CCIC新加坡为装货港最终重量检验的唯一机构。费用有卖方承担，卖方须安排在收到由CCIC出具的质检报告 原件的同时将复印件提交至买方。 9.2 For converting volumes from observed to standard temperature and volumes to weight, the latest revised editions of ISO tables are to be used. 所要检验的内容,从保守的温度到标准的温度以及重量/数量,必须采用国际标准组织（ISO）最新标准。 10.0 DELIVERY, OCEAN TRANSPORTATION OF COAL 交货 ，煤炭的海上运输 10.1 The shipment of Coal shall be delivered to the loading port Mother Vessel within 35 days after issue of the Buyer’s operative Letter of Credit. 货物应在信用证开出后35天内交运到装货港的母船。 10.2 The Buyer must provide the Seller with the Vessel’s particulars in a timely manner prior to loading. Such details are required for arranging on-time loading at the loading port, and include but are not limited to: Vessel name, flag, year of built, LOA, and the expected date of arrival at the loading port (ETA). 买方应在装运前及时告知卖方装运船只的详细情况, 这些详细情况包括但不仅限于如下信息：船只名称，船旗，建造年份，船的长度，预计到装货港日期。 10.3 The Seller must provide the Buyer with the following information in written form five (5) days before they arrive the loading jetty/port. 卖方需在驳船到达装货小码头前五天以书面形式向买方通知驳船以下信息。 a) Names of Barges 船名 b) Lay time for Barges 受载期 c) Delivery time for Barges 装货时间 d) Arrival time to loading jetty / port 到达装货港时间 10.4 The Buyer shall arrange for Vessel’s master to advise by agent to the Seller the estimated time of arrival at the loading port 7 days, 5 days, 3 days, 2 days and 24 hours prior. 买方应安排船代在母船抵达装货港前的7天、5天、3天、2天和24个小时通知卖方。 10.5 Written Notice of Readiness shall be presented by the Vessel after arrival at the designated anchorage during normal office hours between 8:00AM and 5:00PM, seven days per week, provided that Vessel is in free pratique and is in all respects ready to load. 准备好装货的书面通知，应当在船到达指定的停泊港后在正常的办公时间（上午8点到下午5点之间）提出，每周7天 ，船则须在自由休整和准备装货的状态。 10.6 The Seller undertakes to load the contracted goods on board the vessel within the time of shipment as stipulated in this Contract. If the Seller cannot supply enough cargo as required, the Seller shall pay the dead freight (if there is any) to the Vessel. 卖方应在合同规定的期限内将合同项下的货物装到母船上。如卖方未能提供合同规定的足够货物，卖方须支付母船亏仓费（如果有的话）。 10.7 If the Vessel leaves unloaded, due to seller’s failure, the Seller shall take full responsibility of the chartering vessel and associated costs. Else it is the Buyer who shall take full responsibility of the chartering vessel and associated costs. 如果母船未受载离开港口，卖方须承担租订母船的所有相关费用。 10.8 The Seller guarantees that the loading rate at the loading port is not lower than 8,000MT per day. 卖方须确保装货港装率不低于8,000吨/日。 10.9 All Demurrage/Detention/Dispatch at the loading port shall be to the Seller’s account. All Demurrage/Detention/Dispatch at the discharging port shall be to the Buyer’s account. 卖方承担装货港发生的一切滞期费/滞港费/ 速遣费。另一方面，买方承担卸货港的发生的一切滞期费/滞港费/ 速遣费。 10.10 Accounts for Demurrage/Detention/Dispatch will be kept separate from all other accounts and shall be settled within five (5) working days of the date on which the working log/statement of facts of the Vessel is agreed. Demurrage/Detention/Dispatch rates shall be as per the relevant Charter Party. 滞期费计算应独立于其他所有费用的计算，并且应在双方就工作日志或是船只实际工作日志陈述达成一致之日起五个工作日内完成。滞期及速遣计算以租船协议为准。 11. TRANSFER OF TITLE AND RISK 货权及风险的转移 11.1 The title with respect to each shipment shall pass from the Seller to the Buyer upon completion of loading the Mother Vessel. 装货港装货完成后，货权由卖方转至买方。 11.2 All risks shall be determined in accordance with INCOTERMS 2000 with latest amendments, except where stipulated otherwise herein. 所有风险应按照2000国际贸易术语解释通则及最新修正案执行除非另有规定。 11.3 For coal that is rejected under the Contract, title and risk shall revert to the Seller immediately upon rejection by the Buyer. 如买方根据合同规定拒收货物，则在买方告知卖方拒收通知的同时，货物的所有权和风 险损失将立即转移给卖方。 12.0 TAXES, OBLIGATIONS AND EXPORT/IMPORT 税费、义务和进出口 12.1 The Seller and Buyer must each have or obtain at its own risk and expenses any licenses, permits or other official authorization required for the performance of this Contract, notwithstanding that the same arises from a change in legislation after this Contract. 买卖双方必须自担风险和承担获取执行本合同所要求的出口许可证或其它官方许可费用。 12.2 All and any taxes, duties, levies, dues and the like incurred up to and at the loading port shall be to the Seller’s account. 卖方负责执行本合同 装货港地产生的所有税负和费用。 12.3 All and any taxes, duties, levies, dues and the like incurred at the discharge port shall be to the Buyer’s account. 买方负责执行本合同 卸货港地产生的所有税负和费用。 13.0 INSURANCE 保险 13.1 Ocean marine cargo transportation insurance is to be covered by the Buyer. 由买方负责购买国际货物运输保险。 14.0 FORCE MAJEURE 不可抗力 14.1 “Force Majeure” shall mean any event or circumstances beyond the reasonable control of the Party whose is affected and cannot perform its obligation under this Contract. This circumstance includes but is not limited to decree or restraint of government at the Buyer or the Seller’s country, natural disasters, strikes, war, riot, civil commotion, fire, explosion, sabotage, perils of the sea, or embargo. The event of Force Majeure shall be legalized by local authority. 不可抗力是指任何超过合同项下直接受影响的一方能力控制的事件，包括但不限于买卖双方政府的政令或者是限制，自然灾害，罢工，战争，暴乱，骚动，火灾，爆炸，蓄意破坏，海啸或者贸易禁运。不可抗力事件应由地方当局认可。 14.2 For the duration of a Force Majeure, the Seller and/or Buyer shall be released from their respective obligation to deliver or accept delivery of Coal hereunder without liability to the other. The Seller and Buyer shall however co-operate to minimize the adverse effect of such Force Majeure to the extent possible. 因不可抗力，卖方及/或买方应免除其各自关于交付或接受本协议下的蒸汽煤货物的义务，双方不承担责任。买卖双方要进行最大程度的合作使由于发生不可抗力而导致的不利影响减少到最低。 14.3 In the event of a Force Majeure, the Party directly affected shall promptly notify the other Party, and shall within ten (10) days thereafter advise in writing the full particulars of the relevant event and supporting evidence as well as local authority certification. 不可抗力直接受影响的一方应该以传真或者电报的形式在10天之内将具体详情通知另一方，提供相关证据以及地方当局的证明。 14.4 Upon the removal or resolution of a Force Majeure, the affected Party shall promptly notify the other Party. The Parties’ obligations to perform the Contract shall resume in force as soon as the Force Majeure condition ceases. 一旦不可抗力消除或者得到解决，受影响的一方应该迅速地通知另一方，合同双方优义务在不可抗力消除后尽快继续履行合同。 14.5 In the event that Seller/Buyer cannot agree within one month of the cessation of a force majeure having occurred, upon rescheduling of delivery of quantity of Coal affected by such case of Force Majeure, either Party shall have the right to cancel such quantity of Coal without liability to the other. 如果卖方/买方在发生了不可抗力停止的一个月内未能达成共识，因不可抗力的影响，货物数量交付要重新安排，任何一方均有权取消货物数量而无需对另一方负责。 14.6 Any waiver/extension of time in respect of the delivery of any instalment or part of the goods due to Force Majeure shall not be deemed to be a waiver/extension of time in respect of the remaining deliveries. 由于不可抗力导致的对任何部分货物的放弃/延期、分批发货将不视为对所余货物的真正意义的放弃/延期。 15.0 FAILURE TO PERFORM THE CONTRACT 未履约 15.1 Breach Failure by the Seller or the Buyer to comply with any of the obligations assumed under this Contract except where affected by Force Majeure, shall entitle the other party, without prejudice to any other recourses available to it, to consider such failure a breach of this Contract and to terminate the same, or to unilaterally suspend its performance until such failure is corrected, and in either cases may claim direct damages for the breach. 除因第十\条款所述的不可抗力事件外, 如果任何一方未能履行合同项下的义务，即视为违约。另一方有权终止合同或暂停执行合同，直至违约方改正了违约行为。如发生上述违约行为，受损方可以直接起诉，要求赔偿。 15.2 If all or part of cargo is rejected by the Buyer pursuant to the contract, the vessel charter fare including demurrage and/or dead freight shall be borne by the Seller. 如果全部或者部分货物因质量问题发生拒收，由此产生的母船租金、滞期费及空仓费由卖方承担。 15.3 The Buyer has the right to draw down the Performance Bond as compensation if the Seller fails to perform any obligation set forth in the Contract. 如果卖方违背或未履行合同中规定的任何义务，买方有权没收保函。 15.4 If Buyer fail to issue and or activate the L/C then the Buyer shall be entitled 20% of the sum of this contract value to be settled and paid to the Seller’s assigned bank account within 5 working days. 16 CLAIMS 索赔 16.1 Any claim that either Party may have, due to an occurrence, has to be submitted to the other Party within a period of two (2) months from the date of that occurrence. 任何一方向另一方索赔,必须自发生日起2个月内提出。 16.2 If within thirty (30) calendar days from date of loading of the vessel, the Buyer fails to inform the Seller of non-compliance, the commodity will be deemed to have been accepted by the Buyer, and the Seller will no longer accept any claims. 装运港检测报告出具后30天内,买方没有通知卖方要求索赔,那视为买方接受了此商品,卖方将不再接受提赔要求。 16.3 All claims will be executed in writing and both parties agree to acknowledge such claims by written acceptance thereof. 双方认同所有索赔的要求必须以书面形式提出。 17.0 ARBITRATION 仲裁 17.1 All disputes arising in connection with the present Contract shall be settled in an amicable way firstly. Should the parties reach no agreement, then the case shall be brought for final settlement under the rules of Conciliation and Arbitration of the International Chamber of Commerce in Hong Kong. SUCOFINDO/CCIC/GEOSERVICE INDONESIA or an Independent Surveyor in Indonesia shall take representative samples and conduct analysis of the shipment in accordance with ASTM method. The laboratory of SUCOFINDO/CCIC/GEOSERVICE INDONESIA or an Independent Surveyor in Indonesia shall issue a Certificate of Sampling and Analysis, which shall be facsimiled by the SELLER to the Buyer with 7(seven)working days from departure of vessel at the load port. SUCOFINDO/CCIC/GEOSERVICE INDONESIA or an Independent Surveyor in Indonesia shall prepare and hold an Arbitration Sample for three months which will be used in the event that there is a substantial difference between the analysis results above as determined at the Loading Port. The quantity of coal delivered by vessel shall be determined at the load port through a vessel draft survey conducted by SUCOFINDO/CCIC/GEOSERVICE INDONESIA or an Independent Surveyor in Indonesia. Expenses for the draft survey shall be for the account of the SELLER. The laboratory of CIQ/CCIC shall issue a Certificate of Sampling and Analysis at discharge port, which shall be facsimiled by the BUYER to the Seller within 3(three) working days after discharge the cargo from the vessel at the discharge port. The results of analysis reflected on the certificate of Analysis and Sampling issued by CIQ/CCIC at the discharging port shall be final and binding upon the parties for price adjustment and settlement under the Contract.CIQ/CCI shall prepare and hole an Arbitration Sample for three months which will be used in the event that there is a substantial difference between the Quality as determined at the Loading Port and at the Discharge Port. The quantity of coal delivered by vessel shall be determined at the discharge port through a vessel draft survey conducted by CIQ/CCIC. Expenses for the draft survey shall be for the account of the Buyer. The said surveyor shall issue a Certificate of Weight by means of draft survey at the discharging port, which shall be facsimiled by the BUYER to the Seller within 3 (three) working days after discharge the cargo from the vessel at the discharge port.
